Affiliate Reseller Agreement

This Affiliate Reseller Agreement ("Agreement") is entered into by and between Mastering

Online Profit ("Company," "we," or "us") and the affiliate ("Affiliate," "you," or "your") who

has agreed to participate in the Mastering Online Profit Program Affiliate Program ("Program").

By applying to become an Affiliate and participating in the Program, you agree to comply with

the terms and conditions set forth in this Agreement.

1. Enrollment and Approval

1.1 Application: To become an Affiliate, you must complete the online application form on our

website. We will review your application and notify you of acceptance or rejection.

1.2 Approval: We reserve the right to accept or reject any Affiliate application at our sole

discretion for any reason, including but not limited to the content and nature of your website,

social media presence, or other online platforms.

2. Affiliate Responsibilities

2.1 Marketing Practices: You agree to promote the Mastering Online Profit Program using

approved marketing methods, including social media, email marketing, and personal referrals.

You agree not to use spam, misleading claims, or unethical marketing practices to promote the

Program.

2.2 Compliance with Laws: Affiliates must comply with all applicable laws, including the

Federal Trade Commission (FTC) guidelines on endorsements and disclosures. You agree to

disclose your affiliate relationship in a clear and conspicuous manner in all promotional

materials.

2.3 Brand Representation: Affiliates may use the Company’s brand name, logo, and approved

promotional materials solely for the purpose of promoting the Program. You agree not to alter

any provided materials or create your own without prior written consent.

3. Commissions and Payment Terms

3.1 Commission Rate: Affiliates will earn a commission of 20%-80%% on net sales generated

through their unique affiliate link. Net sales exclude refunds, chargebacks, and taxes.

3.2 Payment Terms: Commissions are paid on a monthly basis via stripe Payments will be made

within 30 days of the end of each calendar month.

3.3 Minimum Payout Threshold: A minimum balance of (no minimum) is required before

payment is issued. Balances below this amount will be carried over to the next payment period.

3.4 Refunds and Chargebacks: If a customer referred by the Affiliate receives a refund or

issues a chargeback, the commission for that sale will be deducted from the Affiliate’s earnings.

4. Affiliate Tracking and Reporting

4.1 Tracking: Sales generated by Affiliates will be tracked using unique affiliate links provided

through the Program. It is the Affiliate's responsibility to ensure the correct use of these links.

4.2 Access to Reports: Affiliates can access their performance data and commission reports

through the affiliate dashboard on our website.

5. Confidentiality and Data Protection

5.1 Confidentiality: Affiliates agree not to disclose or share any confidential information

obtained through the Program, including sales data, marketing strategies, or customer

information.

5.2 Data Protection: Affiliates must comply with all applicable data protection regulations,

including GDPR and CCPA, when collecting or handling customer information. Affiliates agree

not to misuse or share customer data with third parties.

6. Intellectual Property Rights

6.1 The Company retains all rights to the Mastering Online Profit Program, including

copyrights, trademarks, and other intellectual property. Affiliates are granted a non-exclusive,

non-transferable license to use approved promotional materials solely for the purpose of

promoting the Program.

7. Term and Termination

7.1 Term: This Agreement will commence upon your acceptance into the Program and will

continue until terminated by either party.

7.2 Termination: Either party may terminate this Agreement at any time, with or without cause,

by providing written notice to the other party. Upon termination, the Affiliate will immediately

cease using any promotional materials and disable all affiliate links.

7.3 Effect of Termination: Upon termination, the Affiliate will no longer earn commissions on

any sales generated after the termination date.

8. Limitation of Liability

8.1 The Company shall not be liable for any direct, indirect, special, incidental, or consequential

damages arising in connection with this Agreement or the Affiliate's participation in the

Program.

9. Indemnification

9.1 The Affiliate agrees to indemnify and hold the Company harmless from any claims,

damages, or expenses arising from the Affiliate's breach of this Agreement or violation of any

laws.

10. Governing Law and Jurisdiction

10.1 This Agreement shall be governed by and construed in accordance with the laws of the

State of [Your State], without regard to its conflict of law principles. Any disputes arising under

this Agreement shall be resolved in the courts of Ontario Canada.

11. Amendments and Modifications

11.1 The Company reserves the right to modify this Agreement or the terms of the Program at

any time. Affiliates will be notified of any changes via email or through the affiliate dashboard.

Continued participation in the Program after such notification constitutes acceptance of the

modified terms.

12. Acceptance and Acknowledgment

By applying for the Affiliate Program and participating in the Program, you acknowledge that

you have read, understood, and agree to be bound by the terms of this Agreement.
